Notice of the China (Shanghai) Pilot Free Trade Zone on the Registration of Cancellation of Foreign-Invested Partnership

I. Operation Basis

Partnership Enterprise Law of the People’s Republic of China, Regulations of the PRC on the Administration of Registration of Partnership Enterprises, Administrative Provisions on the Registration of Foreign-Funded Partnership Enterprises, and Measures for Administration of the Establishment of Partnership Enterprises within the Territory of China by Foreign Enterprises or Individuals

Registration of Cancellation of Foreign Invested Partnership Companies

III. Required Materials

1. Application for Registration of Cancellation of Foreign Invested Partnership Companies signed by the liquidator

2. Cancellation Decision as signed by all partners or Cancellation Decision as signed by the signatory as specified in the partnership agreement.

3. Liquidation report as signed by all partners

The liquidation report shall state the information about completion of the formalities for payment of taxation and Customs taxes.

4. Newspaper publishing the liquidation public notice

Include sample of newspaper publication of the liquidation public notice.

5. Certificate of registration of cancellation of the branch

As for the partnership enterprise that establishes a branch in a different city, it is required to submit the decision on registration of cancellation of the branch as issued by the local registration authority.

6. Original and photocopy of the Business License

7. Other relevant documents

If enterprises are cancelled because they are judged by the people’s court bankrupt or ordered to be closed by the administrative authority, or have their license revoked or cancelled, it is required to submit the documents relating to judgment of bankruptcy by the people’s court, or order of closure by the administrative authority, or revocation of the license of the foreign invested partnership enterprises according to law.

IV. Application Process

    The investors shall visit the official website of Shanghai Industrial and Commercial Administration, i.e. www.sgs.gov.cn or the “Investment and Handling Express in Pilot Area” at the portal website of “Shanghai - China”, and prepare relevant materials according to the applicable requirements, and submit the paper materials to the Investment Management Window of the Comprehensive Service Hall in the pilot area for the purpose of handling the change formalities. If materials are complete and in conformity with the legal form, after completion of handling, replace the Business License at the designated window.
